Terms of Service

These Terms explain how you may use Threadboard and what we expect from the people and organizations using our AI-assisted project management service. They are written to describe the product clearly, but they still require legal review before production use.

1.0Agreement to Terms

These Terms of Service ("Terms") are an agreement between you and Threadboard, Inc. ("Threadboard," "we," "us," or "our") for your access to and use of Threadboard websites, applications, APIs, and related services (together, the "Services").

If you use the Services on behalf of a company, client, or other organization, you represent that you have authority to accept these Terms for that organization. If you do not agree to these Terms, do not access or use the Services.

2.0The Threadboard Service

Threadboard is an AI-assisted project and workflow product for teams. The Services help users organize workspaces, teams, members, projects, areas, issues, meetings, decisions, blockers, notes, snapshots, and intake history.

The Services can process unstructured meeting notes, standups, Slack-like threads, transcripts, or other text submitted by users to propose issues, updates, action items, decisions, blockers, project summaries, and member notes. Threadboard is designed around human review: AI-generated proposals should be checked, edited, approved, or rejected by authorized users before they are relied on.

We may add, change, suspend, or discontinue features. Where a change materially affects your use of paid Services, we will provide notice when required by law or by the terms presented at checkout.

3.0Accounts and Workspaces

You may need an account to use Threadboard. Accounts are authenticated through Firebase Authentication or another authentication provider we make available. You are responsible for keeping your credentials secure and for activity under your account.

  • Eligibility: You must be able to form a binding contract and may use the Services only as permitted by applicable law.
  • Organizations: Workspaces may represent companies, clients, or teams. Workspace owners and administrators can invite members, manage access, configure teams, and remove data from the workspace.
  • Multi-tenancy: You must only access workspaces and team data that you are authorized to access. Do not attempt to bypass workspace isolation or permission controls.

4.0User Content and AI Features

"User Content" means content you or your organization submits to the Services, including meeting notes, transcripts, issue details, team member notes, workspace metadata, comments, decisions, blockers, uploaded context, and related project data.

As between you and Threadboard, you retain ownership of your User Content. You grant Threadboard a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, and create operational derivatives of User Content only as needed to provide, secure, maintain, support, and improve the Services.

AI features notice

Threadboard uses AI systems, including Google Gemini models through Genkit, to classify, extract, summarize, and route information. Unless separately and explicitly documented, we do not use your User Content to train foundation models. AI output can be incomplete, inaccurate, or inappropriate for your context, so you are responsible for reviewing it before acting on it.

We do not undertake a general obligation to monitor User Content. We may, however, review or remove content and restrict access where we believe it violates these Terms, threatens the Services, infringes rights, or where we are required to do so by law.

5.0Acceptable Use

You agree not to misuse the Services. For example, you must not:

  • submit content you do not have the right to submit or process;
  • use the Services to violate law, privacy rights, intellectual property rights, or contractual duties;
  • attempt to access another workspace, account, system, model prompt, or dataset without authorization;
  • probe, scan, overload, disrupt, reverse engineer, or bypass security or rate limits;
  • upload malware, secrets you are not authorized to process, or regulated data unless your agreement with us permits it; or
  • use AI output to make decisions with legal or similarly significant effects without appropriate human review and compliance controls.

6.0Subscriptions and Billing

Threadboard may offer free, trial, beta, or paid plans. Paid plan details, fees, usage limits, taxes, renewal terms, cancellation rights, and refund rules will be described at checkout, in an order form, or in a separate written agreement.

If you purchase paid Services, you authorize us and our payment processors to charge applicable fees and taxes. Unless stated otherwise at checkout, fees are non-refundable except where required by law.

7.0Data, Security, and Privacy

Threadboard is built on Firebase services, including Firestore, Firebase Authentication, and Firebase App Hosting. We use technical and organizational measures designed to protect User Content, including authentication, tenant scoping, and encryption in transit and at rest where provided by our hosting and database providers.

Security is shared. You are responsible for inviting the right workspace members, removing access when it is no longer needed, choosing what content to submit, and maintaining secure devices and credentials.

Our Privacy Policy will describe how we collect, use, retain, and share Personal Data, including subprocessors and hosting details when those lists are maintained. Until that policy is published, contact legal@threadboard.com with privacy questions.

Workspace data controls

Threadboard includes workspace-level organization and deletion features. Export, retention, and deletion behavior may vary by plan, legal obligation, backup cycle, and administrator action.

8.0Suspension and Termination

You may stop using the Services at any time. Workspace owners may delete workspaces or remove members through available product controls. If you need help with account deletion or workspace access, contact support.

We may suspend or terminate access if we reasonably believe you violated these Terms, your use creates risk for the Services or other users, payment is overdue, or we are required to do so by law. After termination, your right to use the Services ends, but terms that by their nature should survive will continue to apply.

Draft for legal review

These Terms are product-aligned drafting material and are not legal advice. The final production version should be reviewed by counsel for entity details, governing law, dispute process, liability caps, warranty language, and jurisdiction-specific consumer or employment rules.

To the maximum extent permitted by law, the Services and AI output are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free, secure, or that AI output will be accurate or fit for your intended purpose.

To the maximum extent permitted by law, Threadboard will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services.

You agree to indemnify and hold Threadboard harmless from claims arising from your User Content, your misuse of the Services, your violation of these Terms, or your violation of law or third-party rights. Governing law, venue, dispute resolution, and any liability cap should be completed during legal review.

10.0Changes and Contact

We may update these Terms from time to time. When we make material changes, we will update the effective date and provide notice by posting the updated Terms, notifying you in-app, sending email, or using another legally appropriate method.
